Summary of Pending Case: On February 16, 2010, Shepherd, Finkelman, Miller & Shah, LLP, along with co-counsel, filed a Motion for Appointment as Lead Plaintiff on behalf of Miramar Firefighters’ Pension Fund and purchasers of the common stock of Nighthawk Radiology Holdings, Inc. (“Nighthawk”) between April 10, 2007 and February 13, 2008, inclusive (“Class Period”), seeking to pursue remedies under the Securities Exchange Act of 1934. Nighthawk provides professional services to radiology groups and hospitals throughout the United States. The Complaint, filed in the United States District Court for the District of Idaho, alleges that, throughout the Class Period, Defendants, Nighthawk, Dr. Paul Berger, Tim Mayleben and Glenn R. Cole, failed to disclose material adverse facts about Nighthawk’s true financial condition, business and prospects. Specifically, the Complaint alleges that Nighthawk did not disclose serious problems it had with its acquisition and integration of The Radlink Group.

Status of Pending Case: A hearing occurred on April 21, 2010 with respect to the competing motions for lead plaintiff and for selection of lead counsel.
