Summary of Pending Case: On November 11, 2009, Shepherd, Finkelman, Miller & Shah, LLP filed a Class Action Complaint (the “Phillips action”) in the United States District Court for the District of Connecticut on behalf of Plaintiff, Laura Phillips (“Phillips”), and a proposed class of Florida consumers against Beiersdorf North America, Inc. and Beiersdorf, Inc. (“Beiersdorf” or “Defendants”). On February 2, 2010, Shepherd, Finkelman, Miller & Shah, LLP filed a Class Action Complaint (the “Wiener action”) in the United States District Court for the District of Connecticut on behalf of Plaintiff, Patricia Wiener (“Wiener” collectively, with Phillips, “Plaintiffs”), and a proposed class of California consumers against Defendants. The Complaints allege that Defendants engaged in fraudulent, deceptive and otherwise improper advertising, sales and marketing practices regarding their NIVEA brand Body Care products, NIVEA Good-Bye Cellulite Gel-Cream, NIVEA Good-Bye Cellulite Patches, and NIVEA My Silhouette! Reshaping Gel-Cream (collectively, the “Performance Products”). The Complaints allege that Defendants’ claims are deceptive and misleading, and are designed solely to cause consumers to buy the Performance Products.

Status of Pending Case: Defendants answered the Complaint in the Phillips action on February 8, 2010 and have yet to answer the Complaint in the Wiener action. Discovery has commenced in the Phillips action.
